A. SUBJECT AND BACKGROUND
The City of Falls Church (City) is soliciting proposals from qualified artists to provide a portfolio as is further
described herein in Attachment A entitled “Call for Art”. The terms “proposal” and “portfolio” may be used
interchangeably as well as the terms “artist” and “firm”.
B. GENERAL
1. Inquiries, if received by the City’s representative specified on the cover page of this solicitation in less than
three (3) business days of the date set for the opening of quotes, may not be given any consideration unless
it is in the best interest of the City to do so. Any material answers will be provided to all firms who received a
notice of this RFQ from the City.
2. The City is not liable for any costs incurred in connection with this RFQ and any such expenses may not
be charged to the City.
3. It is the City’s intent that this RFQ permits competition. It shall be the firm’s responsibility to advise the City
representative(s) on the cover page in writing if any language requirement, specification, etc. or any
combination thereof, inadvertently restricts or limits the requirements stated in this RFQ to a single source,
or otherwise restrict competition. The City endeavors to contribute to the preservation and growth of small,
minority-owned, women-owned and service-disabled veteran-owned businesses by encouraging
participation in the procurement process for goods and services.
4. Each and every provision of laws required by the Commonwealth of Virginia, local or federal law to be
inserted in an informal solicitation shall be deemed to be inserted and incorporated herein by reference.
5. This is a Request for Quotes and is in no way to be misconstrued as a commitment to purchase on the part
of the City.
C. PORTFOLIO SUBMISSION REQUIREMENTS
See Attachment A. Portfolios that are incomplete or lack key information may be rejected by the City at its
discretion. The City reserves the right to accept or reject, in whole or part, any and all responses and to waive
informalities and select the artists portfolios best suited to serve the interest of the City.
1. By submitting a proposal, the artist represents it has read and understands the Scope of Work and all other
sections and attachments hereto (physical and referenced) and has familiarized itself with all federal, state,
and local laws, ordinances, and rules and regulations that in any manner may affect the cost, progress, or
performance of the work. Failure to read any part of this solicitation shall not relieve the firm of its contractual
obligations.
2. Firm shall detail and submit any and all exceptions and proposed modifications to the requirements,
specifications or City terms and conditions with their Quote. The City reserves the right to accept, reject
and/or negotiate any proposed change(s) in the scope, terms and conditions or other provision of the RFQ.
3. Please submit all responses in accordance with the requirements herein.
4. The terms “Contract” and “Purchase Order” may be used interchangeably herein.
D. CONTRACT DOCUMENTS
1. The City’s decision to award the goods and/or services described herein to a firm or firms will be followed
by either a contract for signature. The contract documents shall include this solicitation, including all
negotiations, addenda, attachments, hereto; these documents shall become a part of the awarded contract.
2. There is no binding agreement, no contractual relationship, no understanding, nor mutual assent until a
contract or Purchase Order is accepted by the Contractor.
3. A contract IS NOT an order to proceed, The City is obligated for payment for good and/or services
satisfactorily received only after submittal of a Purchase Order to contractor. The Contract or Purchase
Order represents the entire and integrated agreement between the parties and supersedes prior
negotiations, representations or agreements, either written or oral. The contract or Purchase Order may
be amended or modified only by written modification.

4. The City’s Terms and Conditions shall take precedence over any conflicting terms and conditions included
or referenced in the firm’s quote, invoice or other documents. The City reserves the right to make multiple
awards to multiple contractors, including awards at line item pricing levels, as determined to be to the best
advantage to the City.
E. EVALUATION AND SELECTION CRITERIA
See Attachment A.
F. BASIS OF AWARD
1. Award(s) if any, will be made to the artist(s) whose portfolio is determined, in the sole opinion of the City, to
best meet its requirements and purposes.
2. The City may award to one or more firms without further contact with the other firms.
G. TAX EXEMPTION
The City is exempt from the payment of federal excise taxes and the payment of State Sales and Use Tax on all
tangible, personal property for its use or consumption. The City’s tax exemption number is 54-6001271 and
such Certificate will be furnished upon advance request to contractor. Prices offered must be net, exclusive of
taxes. Materials used in the performance of construction contracts are subject to Virginia Sales/Use Tax as
described in Section 630-10-27J of the Virginia Retail Sales and Use Tax Regulations.
H. CITY PROJECT MANAGER & SCHEDULING
All work shall be directed and coordinated by the City Project Manager or designee.
I. QUOTE SUBMISSION COVENANTS & CERTIFICATIONS
The firm’s signature on the RFQ Offer Page (Exhibit A1) or the Quote itself covenants and certifies the following:
• To the best of the firm’s knowledge, no City of Falls Church official or employee having official responsibility
for the procurement transaction, or member of his or her immediate family (including spouse, parents or
children), has received, been promised, directly or indirectly, or will receive any financial benefit, including
but not limited to fees, commission, finder’s fee, political contribution or any similar form of remuneration,
or other financial benefit of more than nominal or minimal value on account of the act of awarding and/or
executing this contract.
• Ethics In Public Contracting - The provisions, requirements, and prohibitions as contained in Sections 2.2-
4367 through 2.2-4377, of the Virginia Public Procurement Act as set forth in the Code of Virginia, as
amended, pertaining to firms, Contractors, and Subcontractors are applicable to this solicitation. By
submitting a Quote, the firm certifies that their proposal is made without collusion or fraud.
• Conflict of Interest - The provisions referenced in the paragraph above entitled “Ethics In Public Contracting
“above, supplement, but do not supersede, other provisions of law including, but not limited to, the State
and Local Government Conflict of Interests Act (§§ 2.2-3100 et seq.), the Virginia Governmental Frauds
Act (§§ 18.2-498.1 et seq.), and Articles 2 (§§ 18.2-438 et seq.) and 3 (§§ 18.2-446 et seq.) of Chapter 10
of Title 18.2. The provisions apply notwithstanding the fact that the conduct described may not constitute
a violation of the State and Local Government Conflict of Interests Act.
J. HEALTH AND SAFETY COMPLIANCE
All contractors and subcontractors working for the City are required to comply with current health and safety
protocols as established by the Commonwealth of Virginia, Fairfax County Health Department, City of Falls
Church and the U. S. Centers for Disease Control and Prevention (CDC).
K. EQUAL OPPORTUNITY AND SMALL, MINORITY-OWNED, WOMEN-OWNED AND SERVICE-DISABLED
VETERAN-OWNED BUSINESS AND EMPLOYMENT SERVICES ORGANIZATIONS PARTICIPATION
1. The City endeavors to contribute to the preservation and growth of small, minority-owned, women-owned
and service-disabled veteran-owned businesses and employment services organizations by encouraging
participation in the procurement process for goods and services. The City:

a. Prohibits employment discrimination by contractors and requires that every City contract over
$10,000 include language to this effect, including subcontracted work;
and
b. Publishes formal solicitations on the Commonwealth’s eProcurement portal, eVA, which provides
access to procurement opportunities by firms registered with the Virginia Department of Small
Business and Supplier Diversity (SBSD).
2. The SBSD is Virginia’s agency dedicated to enhancing the participation of small, women owned, minority-
owned, and service-disabled veteran owned businesses and employment services organizations in
Virginia’s procurement process. SBSD administers three certification programs: 1) SWaM - The Small,
Women-owned, and Minority-owned Business certification program (state); 2) DBE - The Disadvantaged
Business Enterprise certification program (federal); and 3) ESO - Employment Services Organization
providing community-based employment services to individuals with disabilities. More information is
available at https://sbsd.virginia.gov.
3. Contractors are encouraged to use SWaMs on all projects as subcontractors and/or suppliers.
4. Notwithstanding the above, City contracts shall be awarded in accordance with the evaluation/award details
herein. There is no set aside program.
